Terms of Service

Welcome to Sakhai.net (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our services, including but not limited to lead generation, workflow automation, website and app development, CRM customization, digital marketing, and other related professional services (collectively, the “Services”).
By engaging with Sakhai.net, you (“Client,” “you,” or “your”) agree to be bound by these Terms.
1. Services
Sakhai.net provides Services tailored to each Client’s business needs. Specific deliverables and timelines must be outlined in a mutually agreed-upon written proposal or agreement. All Services are provided on an “as is” and “as available” basis.
2. No Guarantee of Results
Unless expressly stated in a written agreement signed by an authorized representative of Sakhai.net, we do not guarantee specific results, leads, conversions, revenue, or business outcomes from the use of our Services.
3. Client Responsibilities
You agree to:
Provide timely access to information, personnel, systems, and approvals needed for us to deliver the Services.
Review and approve deliverables promptly.
Ensure that any materials you provide to us do not infringe on third-party rights.
4. Payment Terms
Fees for Services are due as outlined in your proposal, contract, or invoice. Unless otherwise agreed, payments are due within seven (7) days of the invoice date. Late payments may incur a service charge of 1.5% per month (or the highest amount permitted by law, whichever is lower).
All fees are non-refundable unless otherwise stated in writing.
5. Intellectual Property
Unless otherwise agreed in writing:
All pre-existing intellectual property of Sakhai.net remains our property.
Upon full payment, you are granted a non-exclusive, non-transferable license to use the final deliverables for your internal business purposes.
We retain the right to display Client projects in our portfolio, marketing materials, and case studies unless otherwise agreed upon in writing.
6. Confidentiality
Each party agrees to maintain the confidentiality of non-public information disclosed by the other party during the course of the Services.
7. Termination
Either party may terminate the Services with thirty (30) days’ written notice. Termination does not relieve you of your obligation to pay for Services rendered or commitments made prior to the termination date.
We reserve the right to immediately suspend or terminate Services if you breach these Terms.
8. Limitation of Liability
To the maximum extent permitted by law, Sakhai.net shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Our total liability for any claim related to the Services shall not exceed the amount paid by you to Sakhai.net in the three (3) months preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Sakhai.net, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your use of the Services or breach of these Terms.
10. Force Majeure
We shall not be responsible for any failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, power outages, internet disruptions, labor disputes, natural disasters, or governmental actions.
11. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of New York without regard to its conflict of law provisions.
Any disputes arising from these Terms shall be resolved through binding arbitration in New York County, New York, in accordance with the rules of the American Arbitration Association.
12. Amendments
Sakhai.net reserves the right to modify these Terms at any time. Updates will be effective upon posting to our website. Continued use of our Services after changes constitutes acceptance of the updated Terms.
